Sub-Dealer Agreement

Version 2026-10-29 · Last updated: October 29, 2026

This Sub-Dealer Agreement (the "Agreement") is between Nexitel Inc ("Nexitel", "we") and the business that applies through the Nexitel Sub-Dealer Portal at activate.nexitel.us (the "Sub-Dealer", "you"). You accept this Agreement by checking the agreement box when you submit your application. Our Terms of Service, Acceptable Use Policy and Privacy Policy also apply and form part of this Agreement.

1. The program

The Sub-Dealer Program lets an approved business activate and recharge Nexitel lines for its own customers through the Sub-Dealer Portal (the "Portal"). You work directly with Nexitel. The Portal is the only way to use the program; there is no API access.

2. Eligibility and application

  1. Only registered businesses may apply. You must provide accurate business information, the documents the Portal asks for, a mobile number, a verified email address, and an identity check of the business owner (photo ID and live selfie). Every document is required.
  2. The program is not available to businesses registered in, operating from, or funded from countries Nexitel designates as ineligible. The Portal tells you if the program is not available in your country. Nexitel may change which countries are eligible at any time based on fraud, sanctions and compliance risk.
  3. You may not apply or connect through a VPN, proxy, anonymizer or hosting service, or on behalf of someone else.
  4. Every application is reviewed by Nexitel. We may approve, request more information, or decline any application at our discretion, and we are not required to give a reason.
  5. You must keep your information current. Tell us at support@nexitel.us if your business details, ownership or address change.

3. Prices, wallet and payments

  1. Nexitel sets your prices and decides which plans and features (such as activations or recharges) are available to your account. Your SIM price and your price for each plan are shown in the Portal. The same plan price applies to an activation and to every recharge of that line. Prices may change at any time; a change applies only to transactions you confirm after it, and each transaction keeps the price it was charged.
  2. The program is pay-as-you-go. You fund a prepaid wallet in the Portal; activations and recharges are paid from it at your price when you confirm them. If your balance is too low, the activation or recharge is not started.
  3. Nexitel does not add sales tax to payments you make under the program (wallet top-ups and SIM orders). Your wallet is credited with the full amount of each confirmed top-up. You are responsible for any taxes that apply to your own sales to your customers.
  4. Top-ups and SIM orders are paid by card or US bank account through the Portal. You must pay with a payment method in the name of your business or its owner. Sub-Dealers in the United States must use a US-issued card or a US bank account. Payments by USDT or wire are arranged with Nexitel directly and credited by Nexitel once received.
  5. Payments are confirmed before they are credited, normally within 48 hours. Bank (ACH) payments are confirmed only after they settle. If we do not accept a payment, we refund it in full to the original payment method.
  6. The wallet balance is not a bank account, does not earn interest, has no cash value outside the program, and cannot be transferred. Nexitel pays no compensation of any kind under this Agreement unless a separate written agreement signed by Nexitel says otherwise.
  7. When an activation or recharge fails, the amount is credited back to your wallet automatically. When the carrier's answer is unclear, the amount is held while we check the line and is then either kept (the line is live) or credited back.
  8. You must not dispute or charge back a payment you authorized. Raise billing questions with support@nexitel.us first.

4. SIM cards and eSIMs

  1. You may obtain SIMs and eSIM profiles for the program only by ordering them through the Portal. Your first order must be at least the quantity shown in the Portal; later orders may be any quantity.
  2. After your payment is confirmed, Nexitel allocates specific SIMs or eSIM profiles to your account. You can activate only SIMs allocated to your account; any other SIM is refused. Physical SIMs ship to the address on the order.
  3. You are responsible for keeping allocated SIMs secure and for SIMs lost, stolen or misused while in your care. Nexitel may remove unused SIMs from your account, for example after a suspension or termination.

5. Your obligations

You must:

  • sell and activate Nexitel service only to real end customers, with their knowledge and consent, and in line with all applicable laws (including telecommunications, consumer-protection, export-control and sanctions laws);
  • give each customer accurate information about the plan they buy;
  • keep your Portal login private and secure, and not share it or let anyone else use it;
  • keep records of the customers you activate and give them to Nexitel or a carrier on request where the law allows;
  • cooperate with any fraud, abuse or law-enforcement inquiry about lines you activated.

You must not:

  • activate or use lines for robocalling, spam, telemarketing without consent, SMS or OTP farming, verification-code resale, SIM boxes, call routing or any other use the Acceptable Use Policy prohibits;
  • activate lines for customers you have not identified, or in bulk for a single person or entity to evade limits;
  • open more than one Sub-Dealer account or apply again after a rejection or suspension under another name;
  • misrepresent yourself as Nexitel, a carrier, or an agent of either, or use Nexitel's or any carrier's logos or trademarks without written permission;
  • resell or transfer Portal access, wallet balance or SIM inventory to another business.

6. Hold, suspension, termination and deletion

  1. Hold. Nexitel may put your account on hold, for example while it reviews activity or documents. You can still sign in and view your account, but you cannot activate, recharge, order or top up until the hold is lifted.
  2. Suspension. Nexitel may suspend your account immediately, without notice, if a payment you made is disputed or charged back; if you sign in from an ineligible country; or if we reasonably suspect fraud, false documents, multiple accounts, spam, robocall or OTP-farm activity, carrier complaints, or any breach of this Agreement. While suspended you cannot sign in, and your wallet balance is frozen. Nexitel may reinstate a suspended account at its discretion.
  3. Termination. Nexitel may end your participation permanently for the same reasons. A terminated account cannot sign in, its wallet is frozen for settlement, and your identifiers (such as EIN, phone number, email address, payment methods and IP addresses) may be kept on a blocklist and used to refuse future applications.
  4. While an account is suspended or terminated, Nexitel may apply the frozen balance to chargebacks, fees, carrier penalties and losses caused by the conduct that led to it, and will refund any remaining legitimate balance to the original payment method. Lines you already activated keep working unless Nexitel suspends specific lines.
  5. Accounts with no activation or recharge for 60 days are deactivated automatically. Nexitel may reactivate an account on request at its discretion.
  6. If your account is deleted, your login is removed, but Nexitel keeps payment, activation, wallet and audit records as required for tax, chargeback, carrier and legal purposes.
  7. Either party may end this Agreement at any time. We will refund your remaining legitimate wallet balance after deducting amounts you owe.

7. Privacy and verification

We collect the business, owner and network information described in our Privacy Policy to review applications, prevent fraud and meet legal obligations. Identity checks are performed by our payments partner, Stripe; Nexitel does not store your ID images. Documents you upload are stored privately and are visible only to Nexitel staff who review applications.

8. Liability

The Portal and the service are provided as available. To the fullest extent the law allows, Nexitel is not liable for indirect, incidental or consequential losses, lost profits, or carrier outages, and Nexitel's total liability under this Agreement is limited to the wallet funds you paid in the 3 months before the claim. You will indemnify Nexitel against claims arising from your breach of this Agreement or from lines you activated in breach of it.

9. Changes

We may update this Agreement. The version in effect is the one shown at the top of this page. When we update it, you may need to accept the new version in the Portal before you can continue to use the program.

10. General

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules, and the state and federal courts located in Pennsylvania have exclusive jurisdiction over any dispute under it. It is the entire agreement about the program and replaces earlier discussions about it. If a part of it is unenforceable, the rest still applies.
