These Terms of Service ("Terms") are a legal agreement between you ("you," "Customer," or "user") and Nexitel Inc ("Nexitel," "we," "us," or "our"), governing your purchase and use of Nexitel wireless services, SIM cards, eSIMs, and related products and services (collectively, the "Services").
By purchasing, activating, or using the Services, you agree to these Terms, our Refund & Cancellation Policy, our Privacy Policy, and our Acceptable Use Policy, each incorporated by reference. If you do not agree, do not purchase or use the Services.
1. Eligibility
You must be at least 18 years old and able to form a legally binding contract to purchase the Services. By purchasing, you represent that the information you provide is accurate and that you are authorized to use the payment method presented.
2. The Services
Nexitel is a mobile virtual network operator (MVNO) providing prepaid, no-contract wireless service over third-party host networks, marketed as Nexitel Blue (operating on the AT&T network) and Nexitel Purple (operating on the T-Mobile network). Network coverage, speeds, and availability depend on the underlying host network and are not guaranteed by Nexitel.
Service is provided on a prepaid basis. Plans do not automatically renew unless you expressly elect otherwise; auto-renew is off by default.
3. SIMs, eSIMs, and Activation
3.1. Upon purchase of an eSIM plan, an eSIM activation QR code or profile (the "eSIM") is delivered electronically, typically by email. Delivery of the eSIM completes the sale. Because an eSIM and its activation credentials can be copied, scanned, stored, or installed immediately upon delivery, the eSIM is deemed used and consumed at the moment of delivery.
3.2. Physical SIM cards, once opened, activated, or installed, are deemed used and cannot be returned or resold.
3.3. You are responsible for ensuring your device is compatible, unlocked, and capable of supporting the selected network before purchase. Nexitel is not responsible for incompatibility between your device and the Services.
3.4. Activation is performed on a designated carrier account and is subject to the host network's provisioning. Activation timing depends on the host network and may not be instantaneous.
4. Number Transfer (Porting)
You may request to keep an existing number, subject to eligibility and the releasing carrier's approval. Nexitel does not guarantee that any particular number can be ported. A failed port does not entitle you to a refund of amounts paid for Services delivered.
5. Prepaid Service; No Proration
All plans are prepaid for a fixed service term. You may stop using the Services or decline to renew at any time. No credit, refund, or proration is provided for unused data, minutes, messages, days, or features, whether or not you used any portion of the plan.
6. All Sales Final
ALL SALES ARE FINAL. Except where a non-waivable right is expressly granted to you by applicable law, all purchases of the Services are non-refundable and non-returnable once purchased. See our Refund & Cancellation Policy for full details. Your statutory rights, where they apply and cannot be waived, are not affected.
7. Wi-Fi Calling and International Calling
Wi-Fi calling and international calling features are offered on eligible plans and devices. Availability of specific international destinations, included-minute allotments, and rates may change at any time and depend on the host network and international carrier partners. International calling allotments described as "unlimited" are subject to the Acceptable Use Policy and may be limited or suspended in cases of abuse, fraud, or commercial/non-personal use.
8. Fair Use
The Services are intended for normal personal use. Plans described as "unlimited" are subject to reasonable network-management and fair-use limits. We may reduce speeds, limit, suspend, or terminate Services that, in our reasonable judgment, are used in a manner that is excessive, abusive, fraudulent, commercial (where not permitted), or that adversely affects the host network or other users.
9. Pricing and Changes
Prices, plans, features, and these Terms may change at any time. Changes apply prospectively to new purchases and renewals. The price and plan terms in effect at the time of your purchase apply to that purchase.
10. Suspension and Termination
We may suspend or terminate your Services, with or without notice, for: (a) violation of these Terms or any incorporated policy; (b) fraud, abuse, or unlawful use; (c) a chargeback, payment dispute, or reversal initiated by you; (d) non-payment; or (e) instruction from a host network or regulator. Upon termination for cause, you are not entitled to any refund.
11. Chargebacks and Payment Disputes
If you initiate a chargeback, payment reversal, or dispute on a completed purchase, we reserve the right to immediately suspend or terminate all Services associated with your account, to recover amounts owed (including fees), and to refuse future service. Initiating a chargeback for Services that were delivered constitutes a breach of these Terms.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXITEL DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, SPECIFIC COVERAGE, OR SPEEDS. WIRELESS SERVICE MAY BE AFFECTED BY FACTORS BEYOND OUR CONTROL.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXITEL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NEXITEL FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT. NEXITEL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
14. Indemnification
You agree to indemnify and hold harmless Nexitel and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
15. Emergency Services (911)
Wi-Fi calling and certain features may have limitations on access to emergency services (911) and on the transmission of your location. Do not rely solely on Wi-Fi calling for emergency calls. You are responsible for understanding these limitations.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Subject to any applicable arbitration provision, the state and federal courts located in Pennsylvania shall have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to that jurisdiction and venue.
17. Changes to These Terms
We may update these Terms at any time. The "Last updated" date reflects the latest version. Your continued use of the Services after changes take effect constitutes acceptance.
